1. Acceptance of Terms

The MYÜTIK platform (“Service”) is provided by PABCR Enterprises Ltd, a company registered in England and Wales (Company No. 17129483), trading as MYÜTIK. By accessing or using the Service, you agree to be bound by these Terms of Service. If you do not agree, you may not use the Service. These terms apply to all users, including account holders, team members, and visitors.

2. Description of Service

MYÜTIK provides an AI-powered lead conversion platform that connects to advertising platforms, runs swarm simulations to understand market perception, and deploys AI sales agents to engage with leads through automated conversations. The Service includes lead ingestion, agent management, conversation tools, and analytics.

3. Account Registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the security of your account credentials.
  • You must notify us immediately of any unauthorised access to your account.
  • You must be at least 18 years old to use the Service.

4. Platform Integrations

When you connect third-party platforms (including Meta, Google, TikTok, Snapchat, Pinterest, LinkedIn, and the WhatsApp Business Platform) to MYÜTIK:

  • You authorise us to access and process data from those platforms on your behalf, including messages, leads, and account metadata necessary to operate the Service.
  • You confirm that you have the necessary permissions and comply with each platform’s terms of service.
  • You are responsible for ensuring your advertising, messaging, and customer engagement practices comply with applicable laws and platform policies.
  • When using MYÜTIK to operate a WhatsApp Business Account, you specifically agree to comply with Meta’s WhatsApp Business Solution Terms, WhatsApp Business Messaging Policy, and WhatsApp Commerce Policy. You are responsible for obtaining valid opt-in from message recipients in accordance with these policies and applicable law.
  • We store OAuth tokens and access credentials securely and only access data necessary to provide the Service.

5. AI Agents and Conversations

  • AI agents operate based on your configuration, brand context, and swarm simulation outputs.
  • You are responsible for reviewing and configuring agent behaviour, including tone, prohibited topics, and escalation rules.
  • You must ensure that AI agent conversations comply with applicable consumer protection, advertising, and data protection laws.
  • For WhatsApp conversations: you are responsible for compliance with the WhatsApp 24-hour customer service window, template message approval requirements, and recipient opt-in. MYÜTIK provides tooling to support compliance but does not assume responsibility for your messaging practices.
  • MYÜTIK does not guarantee specific conversion rates or business outcomes.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations.
  • Send spam, misleading, or deceptive communications through AI agents.
  • Process personal data without appropriate legal basis or consent.
  • Attempt to reverse-engineer, disassemble, or access the source code of the Service.
  • Interfere with or disrupt the Service or its infrastructure.
  • Use the Service for any illegal, harmful, or fraudulent activity.

7. Fees and Payment

  • Pricing is based on your selected plan as displayed on the platform.
  • Free trial periods are subject to the terms stated at the time of signup.
  • We reserve the right to change pricing with 30 days’ notice.
  • All fees are non-refundable unless otherwise stated.

8. Intellectual Property

The Service, including its design, features, code, and documentation, is owned by MYÜTIK and protected by intellectual property laws. You retain ownership of your data, brand content, and configurations. You grant us a licence to use your data solely to provide and improve the Service.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

10. Limitation of Liability

To the maximum extent permitted by law, MYÜTIK shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

11. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that AI agent conversations will achieve specific results.

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these terms or for any other reason with reasonable notice. You may cancel your account at any time. Upon termination, your right to use the Service ceases, and we may delete your data after a reasonable retention period.

13. Changes to Terms

We reserve the right to modify these terms at any time. Material changes will be communicated via email or through the platform. Continued use of the Service after changes constitutes acceptance of the updated terms.

14. Governing Law

These terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
